What is Contract Renewal Management?

Contract renewal management software that finds auto-renewal, notice and price-uplift terms and alerts owners before the notice deadline, not the expiry date. Seven agents read every renewal clause, work out when notice must arrive and when to post it, weigh seat usage and spend against the uplift, recommend renew, renegotiate or cancel, and draft the notice. The business owner decides and Commercial Counsel signs every notice.

The problem

Why contracts renew that nobody meant to renew

Most enterprise contracts renew themselves unless written notice arrives by a date buried in a clause: 30, 60 or 90 days before the renewal, by the method the contract names — certified mail to a named address, a courier, an email to a legal inbox — counted by rules for weekends, holidays and deemed receipt. Contract trackers alert on the expiry date. A reminder 30 days before renewal is no use when notice was due 60 days before it.

When the reminder does come, the owner is asked “renew?” with no usage, no spend and no uplift in front of them, and the default answer is yes. So 9–12% uplifts roll over where a cap could have been negotiated, unused seats are paid for another year, and a notice sent to an address a later letter changed may not count as notice at all. At Kestrel & Vane, 23 notice windows were missed in 2025.

One renewal, from the ladder to a signed notice

Kestrel & Vane Group has 1,412 contracts, and 638 renew themselves. Quillon Analytics, its BI platform, renews on 1 December 2026 unless notice arrives 30 days before. Here is what happens on Wednesday 14 October, screen by screen, in the working solution.

  1. 0108:40

Every contract, ordered by days left to give notice

Hannah Okafor · Procurement Manager, Renewals

Hannah's home screen is a notice-countdown ladder: 22 contracts due in 90 days, 10 in the red 30-day zone, 4 of them undecided. Above it: $284K of uplifts over the cap in the quotes, $302K a year of seats idle for 90 days, and 0 windows missed against 23 in 2025. Quillon Analytics sits at 19 days: notice must arrive by Mon 2 Nov, post by Wed 28 Oct.

“I need to know which notice has to go in the post this week.”

  2. 02One toggle

What a renewal-date tracker would have missed

Hannah Okafor · Procurement Manager, Renewals

Ordered by renewal date, the ladder shows the trap: 3 contracts whose notice is due within 30 days sit below the first eight rows. Harrowgate Fleet Telematics renews on 31 December, but its 60-day notice must arrive by 30 October, in 16 days. Rungs that move up when ordered by notice deadline are marked.

“A reminder 30 days before renewal would come after the deadline.”

  3. 0306:12, before anyone arrived

Eleven renewal terms, each with its clause

    Renewal clause reader

The reader agent read the master subscription agreement QA-MSA-2023-117 and its two amendments: automatic 12-month renewals under §14.1, notice 30 days before the renewal date, by certified mail with return receipt or recognised courier to Quillon's legal department in Denver under §14.3, and an uplift of up to 9% under §6.4. Each term shows its clause and a confidence; the lowest is 0.91, on seat changes.

The reader never guesses a missing term; below 85% confidence it raises an exception.

  4. 0406:13

Two dates, worked out step by step

    Deadline calculator

Renewal date Tue 1 Dec 2026, less 30 days' notice, is Sunday 1 November. §14.3 extends a non-business day to the next Business Day, so notice must arrive by Mon 2 Nov. Certified mail is deemed received on the third Business Day after posting, so it must be posted by Wed 28 Oct, before the 15:00 mailroom cut-off.

“The calculator never moves a date later on its own reading.”

  5. 0506:14

    118 of 290 seats used — renegotiate to 120

Usage & spend analyst and Renewal advisor

Single sign-on shows 118 of 290 seats active in 90 days, 37 never signed in, and $166,700 of $200,000 spent to date. The quote applies the full 9%: $218,000. The advisor recommends renegotiating to 120 seats with the uplift waived and a 3% cap from 2028: $132,000 a year, $86,000 below the quote, with confidence 0.93. Cancelling is not recommended: 14 board-pack dashboards and 3 data feeds read from Quillon.

  6. 0606:16

A notice in the clause's own form, checked by a second agent

    Notice drafter and Notice checker

The drafter writes a notice of reduced renewal and conditional non-renewal: 120 subscriptions from 1 December, the 9% increase in quote Q-26-3318 refused, and the agreement ends on 30 November unless new terms are agreed by 20 November. The checker re-reads the contract on its own and agrees on all six checks: method, address, entity, signatory, arrive-by and send-by.

“Agents draft and check; they never sign or send.”

  7. 0709:12

The owner decides, with usage and price in front of him

Marcus Lee · IT Business Owner

Marcus, Director of Workplace Technology, gets the decision by email, Teams or in the product: the dates, the price now and quoted, the usage and the three paths. He approves “renegotiate to 120 seats” with reason code OD-02. Had he not decided, the reminders would have escalated to Graham Holt, CIO, at T-14 and to the CPO at T-7.

“Show me who actually uses it, and I'll tell you in one click.”

  8. 0809:31

Counsel approves and signs; the courier is booked

    Sofia Brandt · Commercial Counsel

The notice reaches Sofia's approval queue already decided by its owner and checked 6 of 6. She approves with reason code LA-01 and signs by typing her name. The certified-mail posting and the courier are booked for Wed 28 Oct, before 15:00, and tracked to a signed receipt.

“Electronic signature with your single sign-on identity; the signed PDF, the reason and a hash go to the audit trail.”

  9. 0906:20

A notice to an old address never goes

    Notice checker

The same morning, the checker disagreed with a draft to Stellan Waste Services: it was addressed to 14 Quayside Road, Leeds, but Stellan's change-of-address letter of 3 Mar 2025 moved its notice address to Unit 6, Fenmoor Park, Wakefield. With 5 of 6 checks agreed, approval is blocked until Hannah accepts the new address and the checker agrees again.

“A notice to the wrong address on the right day is still a missed notice.” — Sofia Brandt

  10. 1006:04

A passed window, and the law that may still help

    Renewal advisor

Harlow Facilities Maintenance's notice window passed on 1 October. New York law governs, and under N.Y. General Obligations Law §5-903 an automatic renewal of a service and maintenance contract cannot be enforced unless the provider reminded the customer 15 to 30 days before the notice deadline. The agents searched the legal inbox, the mailroom log and 2,140 supplier emails and found no reminder, so the case goes to counsel with the evidence.

Proposed: “write to Harlow that the renewal is not binding and offer a 3-month bridge while the sites re-tender.”

Why renegotiate Quillon Analytics instead of cancelling?

Because 118 of its 290 seats were used in the last 90 days, and 37 people have never signed in. Fourteen board-pack dashboards and three data feeds read from Quillon, so cancelling would need a replacement before 1 December. Renewing as quoted costs $218,000 with a 9% uplift; 120 seats at today's price cost $132,000, which saves $86,000 a year. The notice also ends the agreement if Quillon will not agree by 20 November, so we keep the leverage.

Which notices must be posted this week and next?

4 notices. Thistledown Surveys: post by Thu 15 Oct by courier, arrives by Fri 16 Oct. Quillon Analytics: post by Wed 28 Oct by certified mail, arrives by Mon 2 Nov. Brannock Security Monitoring: post by Thu 29 Oct, arrives by Tue 3 Nov. Corbel Print Services: post by Fri 30 Oct, arrives by Mon 2 Nov. Thistledown is the only one this week, and its courier cut-off is 15:00 tomorrow.

What have renewals saved this year?

$3.84M in 2026 so far, against each vendor's quoted renewal price: $1.21M of uplifts avoided, $1.87M from right-sizing seats and $0.76M from 57 cancellations, across 214 decisions. No notice window has been missed since go-live in March; in 2025, 23 were missed. Finance confirms each saving before it is booked.

Questions

What procurement and legal teams ask us.

How does it work out the notice deadline?

The deadline calculator takes the renewal date and notice period from the clause, applies the clause's own rule for weekends and holidays on the governing law's calendar, then deemed receipt for each method the clause allows. Each contract gets two dates — when notice must arrive and when to post or send it — shown step by step and recounted every morning.

How is it different from contract expiration alerts?

Expiry alerts count back from the end date. Contract Renewal Management orders every contract by days left to give notice, so a 60- or 90-day notice period surfaces in time, and it brings the usage, spend and uplift the owner needs to decide.

How does it make sure a notice is valid?

The notice drafter writes the letter in the form the clause requires: entity, reference, addressee, method and signatory. A second agent re-reads the contract, amendments and change-of-address letters on its own and must agree on all six checks before counsel can approve; a disagreement blocks the notice.

Does it use seat usage and spend for SaaS renewals?

Yes. The usage and spend analyst pulls 90-day sign-ins from single sign-on, seat counts from licence APIs and spend from the AP ledger and purchase orders. The renewal advisor compares them with the uplift and the playbook cap and recommends target seats, price and the saving.

What happens when a notice window has already passed?

It is raised as an exception. Where the governing law requires the vendor to remind the customer before the deadline, as New York's General Obligations Law §5-903 and Wisconsin's §134.49 do for some contracts, the agents check whether the reminder came and route the finding to counsel with the evidence.

Do people stay in control?

Yes. The agents recommend, draft and check, but never decide, sign or send. The business owner decides with a reason code, Commercial Counsel approves and signs every notice, the courier is booked only after approval, and every step is on a chained audit trail.

How long does it take to go live?

The Agentic Solution Engine builds and deploys it from your requirements and documents — your contracts, renewal playbook, counting rules and signatory matrix — and it goes live once every quality gate has passed. We will walk you through it on your own contracts first.

See it on
