What is Alternative Investment Subscription Processing?

Alternative Investment Subscription Processing checks alternative investment subscription documents and investor eligibility for wealth alternatives teams before a package goes to the fund administrator. Eight agents read the package, recompute accredited-investor or qualified-purchaser status from the evidence, test concentration, check every page and signer, match the cash and draft one fix request per subscription. Operations checks each lane, a registered principal approves suitability, and a maker and a different checker send it.

The problem

Why alternative investment subscription documents come back not in good order

Alternative investment subscription documents have to prove a lot before a fund administrator will accept them. The investor must be an accredited investor or a qualified purchaser for the vehicle. The investment must be suitable and inside the firm's alternatives concentration limit. The 20- to 40-page subscription booklet must be complete and on the version the fund currently requires. Every signer must have authority to sign, and the cash must be there by the funding date. The alts operations team checks all of it by hand against a checklist, in the last two weeks before a close.

Most packages fail one of those checks on the first pass. The fix goes back to the advisor by email, often one issue at a time, and the next issue surfaces two days later. Meanwhile eligibility usually rests on a box the client ticked: a primary residence counted as an investment, a CPA letter months old, an LLC formed to invest whose members were never looked through. A non-qualified investor in a 3(c)(7) fund threatens the fund's exemption and is an examination finding for the distributor.

Alternative investment subscription documents for one close, lane by lane

Quillfield Private Wealth's alternatives desk is closing Harborline Infrastructure Fund II on October 31: 46 subscriptions, $24.35M, documents in good order by Monday, October 26. The person works with the agents in a conversation: they say what they found and cite it, she approves, edits or asks back. Here is that morning, screen by screen, in the working solution.

  1. 01Monday, 07:00

The agents worked overnight; nothing went out without her

Marisol Vega · Alternative investments operations specialist (maker)

Marisol's Today screen shows 13 fix requests, re-checks and returns that need her, 97 blocked lanes across all closes, 7 days to the Harborline II documents cutoff and 94.1% in good order at the fund administrator on the first pass, Q4 to date. Next to it, the Close coordinator reports what it ran and answers questions about the close, every answer citing its source.

Close coordinator: “Overnight the agents read 38 packages, ran 212 turnstile checks and drafted 13 fix requests. Nothing was sent or approved without a person.”

  2. 02The close

Every subscription is a lane through five turnstiles

    Close coordinator

Eligibility, suitability, documents, signatures and funding. 18 lanes are through all five, 18 are blocked ($10.70M), 7 wait on funding and 3 are being checked. A shut turnstile is red and the lane says why in one line: a CPA letter 143 days old against a 90-day policy, a W-9 not signed, a co-investor signature missing on page 19. At each advisor's usual reply speed, the coordinator expects 15 of the 18 blocked lanes to clear by the cutoff.

“Three are at risk: Halvorsen Family LLC, Ruiz Ferrer Family Trust and Eleanor Voss, $2.10M together. I escalated them to the branch managers.”

  3. 0308:44

A $5.40M qualified-purchaser claim, recomputed from the evidence

    Eligibility agent

Gregory Tan subscribed $250,000 into the qualified-purchaser feeder through his advisor, Daniel Okoye. His questionnaire claims $5,400,000 of investments. The agent reads three September 30 statements: $2,310,412.55 at Quillfield brokerage, $1,468,900.27 at Halden Securities and $821,688.10 in his rollover IRA. The other $800,000 is 41 Hollow Brook Lane, which his CRM profile records as his primary residence. Supported: $4,601,000.92, short of $5,000,000 by $398,999.08.

“The qualified-purchaser turnstile stays shut. No one can override it; only evidence opens it.”

  4. 04One click

Every figure opens on its page

    Marisol Vega · Operations (maker)

Each number in the workings carries a citation. A click opens the Halden Securities account statement on page 1: total account value $1,468,900.27, and the account address 41 Hollow Brook Lane, Ridgefield, CT, the same address as his CRM profile and his W-9. She checks the agent's reading against the source instead of taking it on trust.

  5. 05The decision

Not a dead end: the accredited-investor feeder

    Helen Marchetti · Registered principal

The agents check each other. The Suitability agent uses the verified $4,601,000.92, not the claim: alternatives after this subscription would be $890,000, 19.3% of investable net worth against the 20% limit. He is an accredited investor, so the Close coordinator offers two ways forward: seat 72 of 99 in the fund's accredited-investor feeder (minimum $100,000, a 0.15% a year feeder fee), or evidence of another $399,000 of investments. Helen holds the subscription with reason code E-03 and signs with her passkey.

Reason code: “E-03 · Qualified-purchaser threshold not met by the evidence.” On screen: “Override not available.”

  6. 06Right after

One plain note to the advisor, waiting for operations

    Fix-request agent

The agent drafts FR-2312 to Daniel Okoye: Gregory's statements support $4.60M, his Ridgefield home can't count toward the $5M test, and he does qualify for the accredited-investor feeder in the same fund. If he agrees, he re-signs only page 4, and the e-signature envelope is already prefilled. The draft waits for Marisol to approve and send it; the reply is due Tuesday at 09:12.

The Fix-request agent never sends without an operations approval, and never asks a client for anything the fund's rules don't require.

  7. 07In Chicago

The advisor sees his own clients, in plain words

    Daniel Okoye · Financial advisor

Daniel's view lists his six subscriptions in the Harborline II close, $2,800,000, each with what it needs: Gregory Tan held with the accredited-investor feeder offered, Beatrice Hollis with a blank source-of-funds question on page 6, the Kaplans waiting on a municipal bond sale that settles October 23. He can ask the agent about any client.

“Gregory Tan’s request is the only one waiting on you. One signature on page 4 moves him to the accredited-investor feeder; the rest of his package is already in good order.”

  8. 08Another lane

A German statement, read beside the English

    Eligibility agent

Katrin Albrecht's qualified-purchaser evidence is a Depotauszug from Rheinwald Privatbank. The original sits beside the agent's English reading, line by line, with the total of EUR 4,918,230.00 converted at the rate on the statement date to about $5,360,870.70. Her lane is through all five turnstiles and waits in batch HIF2-B07 for the checker.

“Read in German; every English line maps to the same line of the original.”

  9. 09Another lane

Signed by one trustee; the deed names two

    Signature agent

The Ruiz Ferrer Family Trust's $600,000 subscription is signed by Carmen Ruiz as trustee. The trust deed, in Spanish, names Alejandro Ruiz Ferrer and Lucía Ferrer Montes as trustees acting jointly. The Documents agent read the deed; the Signature agent matched the signer against it and shut the signatures turnstile. The fix request asks both trustees to re-sign page 19, with an envelope prepared for each.

The Signature agent never accepts a signer who is not named in the authority documents.

  10. 10Sent

A maker builds the batch; a different checker sends it

    Marisol Vega and Owen Pritchard

Batch HIF2-B07 holds four subscriptions for $1,600,000, each package with the 2026-09 booklet, questionnaire, tax form, ID, AML certificate, the principal's suitability approval and an eligibility evidence summary. Marisol prepared it, so she cannot send it: it waits for Owen Pritchard to check and send it to the fund administrator. The administrator's receipt comes back to the same screen, as it did for batches HIF2-B04 to HIF2-B06 this week.

“You prepared this batch, so you cannot check it. Owen Pritchard or another checker must send it.”

Close coordinator

Runs every lane for a close, keeps the close clock against the documents cutoff and funding date, forecasts which lanes will miss the cutoff from each advisor's reply speed, escalates early and assembles the packages for transmission.

  • Never sends anything to a fund administrator
  • Never closes a lane
Intake agent

Takes packages from the alternatives platform, the advisor portal, the alts desk mailbox and scanned paper, splits and classifies each page, and matches the package to the order and the client record.

  • Never alters an original file
  • Never guesses a match below 95%
Eligibility agent

Recomputes accredited-investor, qualified-purchaser and qualified-client status from statements, CPA or attorney letters, license lookups and entity documents, line by line under the rule: primary residence out, acquisition debt deducted, foreign-currency evidence converted at the statement date.

  • Never accepts a ticked box as proof for a qualified-purchaser vehicle
  • No override: evidence older than the policy allows is not evidence
Suitability agent

Tests the alternatives concentration (20% of investable net worth, 10% in one fund), liquidity needs against the fund's lock-up, horizon and risk profile, checks the Reg BI and PTE 2020-02 items, and drafts the principal's suitability memo with cited figures.

  • Never approves suitability
  • Uses only the Eligibility agent's verified figures
Documents agent

Checks every required page and field, the current booklet version, Form W-9 or W-8, ID validity, entity, trust and beneficial-ownership documents, and runs sanctions screening.

  • Never clears a sanctions match; it goes to the AML analyst
Signature agent

Checks every signature and initial against who has authority to sign: the trustees in the deed, the authorized signatory list, co-investors, and the e-signature certificate.

  • Never accepts a signer not named in the authority documents
Funding agent

Matches cash to each subscription against the funding date: reserved cash, scheduled liquidations, incoming wires and IRA custodian directions.

  • Never moves money
  • Never releases a reserve
Fix-request agent

Writes one plain fix request per subscription with page pointers and a prepared e-signature envelope, chases on the clock, reads the reply and re-runs the turnstile.

Which lanes miss the cutoff?

Three lanes are at risk of missing Mon Oct 26: Halvorsen Family LLC (two members still need evidence), Ruiz Ferrer Family Trust (both trustees must re-sign) and Eleanor Voss (a principal decision on liquidity). Together $2.1M. I escalated all three to the branch managers at 08:12.

Why doesn't the house count?

Rule 2a51-1 counts only property held for investment. 41 Hollow Brook Lane is the address on his CRM profile, his Halden statement and his W-9, and the CRM records it as his primary residence. A home he lives in is not an investment, so the $800,000 is excluded.

What are the other options?

The accredited-investor feeder invests in the same fund. Seat 72 of 99 is free, the minimum is $100,000 and the feeder adds a 0.15% a year administration fee. He qualifies: net worth excluding his residence is $4.60M.

How much is at risk?

Blocked: $10.70M in 18 lanes. At risk of missing the cutoff: $2.10M in 3 lanes. Through all five: $9.85M, of which $7.60M is already accepted by the fund administrator.

Questions

What wealth alternatives teams ask us.

How does it verify accredited investor and qualified purchaser status?

The Eligibility agent rebuilds the test line by line from the statements, CPA or attorney letters, license lookups and entity documents, not from the box the client ticked. It applies the rule, cites every line and shows the claim against what the evidence supports. In the working solution a $5.40M qualified-purchaser claim is supported to $4,601,000.92.

Does a primary residence count toward qualified purchaser status?

No. Under Rule 2a51-1 only property held for investment counts, so a home the client lives in is excluded, and debt incurred to buy investments is deducted. The agent finds the residence from the CRM profile, the W-9 and the statements, and says so with citations.

Can a client who fails the qualified purchaser test still invest?

Yes, when the client passes another test: the agents propose the vehicle the client does qualify for, in the working solution, the fund's accredited-investor feeder with its free seats, minimum and fee difference. The registered principal decides with a reason code and an e-signature, and the advisor's client re-signs one page.

How does it reduce NIGO subscriptions?

Every page, field, tax form, ID and the current booklet version is checked before the package leaves, and signers are matched to the trust deed or signatory list. Each subscription gets one fix request with page pointers and a prepared e-signature envelope, and the reply is re-checked before the turnstile reopens. The target is 95% in good order at the fund administrator on the first pass.

Can it read trust deeds and statements in other languages?

Yes. Foreign-language evidence is read and shown beside the English, line by line, with amounts converted at the rate on the statement date. In the working solution that covers a German bank statement and a Spanish trust deed.

Do people stay in control of every subscription?

Yes. The agents never send to a fund administrator, approve suitability, move money or clear a sanctions match. An operations checker reviews each lane, a registered principal signs suitability with a reason code, eligibility has no override at all, and maker and checker are always different people.
