What is Exemption Certificate Management?

Exemption certificate management is how a seller collects, validates and tracks the sales tax exemption and resale certificates behind its tax-free sales, so each one is backed by a valid certificate for that customer, state and invoice date. Exemption Certificate Management adds six agents that collect, read and check every certificate, compare each exemption with what the customer buys, hold unsupported orders and answer audit samples — the sales tax analyst decides every exception.

The problem

Why exempt sales are taxed at audit

A distributor that sells to resellers, manufacturers, farms, schools, hospitals and governments makes a large share of its sales without sales tax. Every one of those sales is taxable until the seller can show a valid exemption certificate for that customer, that ship-to state and that invoice date. Today the certificates sit in a shared drive or a bolt-on tool. Someone keys them into the ERP, looks the permit number up on one state website after another, tracks expiry in a spreadsheet and chases customers by e-mail, while orders ship exempt "for now".

The gaps surface when a state auditor picks a sample. Texas gives 90 days to produce what is missing, and old versions have been overwritten or sit in an acquired company's archive. The risk nobody checks is whether the exemption fits what the customer actually buys. A resale certificate used for shop tools the customer consumes passes every field check — but a seller that knows, or has reason to know, the items are not for resale cannot rely on it in good faith.

One resale certificate that passes every check, and the tax it hides

Kestrel & Vane Industrial Supply, the US distribution business of Kestrel & Vane Group, sells $612.4M a year tax-free to 6,240 exempt customers at 41,380 ship-to addresses in 44 states and DC. It is Wednesday 14 October 2026. Here is how the sales tax analyst works with the agents, screen by screen, in the working solution.

  1. 01Wednesday morning

The agents worked overnight; 32 things need him

Greg Molina · Sales tax analyst

Greg's day opens as a conversation, not a queue. Exempt sales covered: 98.1%, $600.8M of $612.4M, up from 91.6% in March. Overnight the Use agent compared 6,240 customers' purchases with their exemptions, the Validator agent checked 1,846 permit numbers in 27 state registries and the Order agent released 12 orders as their certificates passed. Each agent's message carries a proposal and its sources.

“The agents checked every exempt sale overnight. 32 things need your decision today, the most important a customer using its resale certificate for tools it keeps.”

  2. 02Walk me through it

The certificate on the left, what the customer buys on the right

    Use agent

Bluewater Marine Supply LLC, account 100482 in Corpus Christi, holds Texas Form 01-339, signed by owner Wade Thibodeaux on 5 March 2024. Every field carries a stamp. On the right, its $285,140 of exempt Texas purchases in 12 months by item class: marine pumps and fittings, and rope, anchors and deck hardware fit resale; shop tools, abrasives and welding consumables, and PPE do not — $179,640, 63.0%, $14,820 of tax at 8.25%.

Bluewater's own credit application calls it a “parts counter and full-service repair yard”.

  3. 03One click on a stamp

The permit, checked in the state's own registry

    Validator agent

The stamp on the Texas taxpayer number opens the evidence: the Texas permit search for 3-20418-55730-6, looked up by the Validator agent at 06:12 that morning. Taxpayer Bluewater Marine Supply LLC, permit active, location 418 Laguna Shores Rd, first sales 03/2019. Every other stamp opens its source the same way.

“Name and location match the certificate and ship-to 01.”

  4. 04The agents check each other

The finding is re-checked, then Greg asks his own question

    Validator agent · Greg Molina

The run is shown step by step: the Reader read 9 fields at 99% legibility, the Validator confirmed the permit, form, signature and date, the Use agent read 412 invoice lines — and the Validator checked the Use agent's finding against 34 TAC §3.285 and agreed, at 96%. Greg asks which lines went to the service yard. 107 of 118 tool lines, 91%, and every abrasives and PPE line went to ship-to 02 at 77 Packery Channel Rd, in ones and twos.

The Use agent reports whether purchases fit the exemption — never the customer's intent.

  5. 05He decides

A reason code, a note and his e-signature

Greg Molina · Sales tax analyst

The agents propose charging tax on shop tools, abrasives and PPE for Bluewater's Texas ship-tos from now on and keeping the exemption on marine parts. Greg picks from five reason codes — U1 charge tax from now on, U2 charge and accrue, U3 ask the customer, U4 accept, or R1 the agent misread the purchases. He keeps U1, adds a note and signs.

“You decide; the reason code, your note and your e-signature go on the record.”

  6. 06Signed

Billing changes in SAP; the note waits for approval

    Order agent · Collector agent

The Order agent writes the billing rule to SAP: item classes 41, 44 and 52 taxable for account 100482 at its Texas ship-tos. The Collector agent drafts a plain-words note to Wade Thibodeaux, sent only when Greg approves it. Under the certificate, Bluewater's other ship-to states: Florida expires Thu 31 Dec, Alabama expired Wed 30 Sep with order SO-4471906 held, Louisiana has none on file — requested Fri 9 Oct, reminder Fri 16 Oct.

“Your Texas resale certificate lets you buy tax-free the marine parts you resell from your store.”

  7. 07Past exposure

The accrual is the tax manager's decision

    Priya Raman · Tax manager

Whether to accrue the $14,820 for October 2025 to September 2026 is not Greg's call or the agents'. It goes to Priya Raman with Greg's U1 decision attached; she signs U2, charge tax and accrue the past exposure, with her own e-signature. Since the certificate was signed, the same items come to $38,210 of tax.

  8. 08The other four

Five findings, $61,240 of tax a year, in order of tax

    Use agent

Bluewater is one of five. Corbin & Vale Builders buys building materials on a resale certificate that contractors install, $19,460 a year. Halvorsen Fleet Services uses shop supplies servicing its own fleet customers' trucks, $12,780. Ironbark Machine Works buys janitorial and office supplies on a manufacturing certificate, $9,870. Meridian Charter Academy ships to a for-profit affiliate's address, $4,310.

Rule: a finding is raised at 25% of exempt purchases or $2,500 of tax a year.

  9. 0907:40

Seven orders held before they ship exempt

    Order agent

Seven exempt orders, $148,260, would ship to a state where the customer has no valid certificate. The largest, SO-4472031 for Gulfline Fabrication at $41,600, is going to Louisiana on a number with two digits swapped: 2091437 is not in the registry, 2091473 is. The Order agent proposes releasing it exempt as soon as the customer confirms, and shipping the others with tax today, credited when the certificate passes.

Rule set by Priya Raman: hold exempt orders of $5,000 or more without a valid certificate; tax smaller ones and credit them later.

  10. 1048 days left

A Texas audit sample answered by invoice date

    Audit agent · Priya Raman

The state asked on Wed 2 Sep for certificates for 214 sampled exempt invoices from January 2022 to December 2025, due Tue 1 Dec. The Audit agent found 201 on day one; 207 are ready now, including 6 older versions and 3 from the Harbor & Lyle archive. Five are requested from customers. Two customers have closed, and it proposes conceding those lines — $1,186 of tax — for Priya to decide and sign.

The Audit agent never concedes a line and never sends anything to the state.

6 agents. Each with one job, and hard limits.

Six agents collect, read and verify every certificate, compare each exemption with what the customer buys, and hold unsupported orders; the analyst decides.

Collector agent

Asks for the right state's certificate the moment an order ships somewhere none is on file, ahead of every expiry and for every gap in an audit sample. Names the exact form, links a page pre-filled with what is known and reminds on day 7, 14 and 21.

  • Never sends a first request to a customer without approval
  • Plain words, never threatening and never quoting penalties
  • Hands over to customer service on day 22
Reader agent

Reads every certificate that arrives — portal, e-mail, fax or a photo from a sales rep — identifies the form among 40+ state forms, the Streamlined form and the multistate form, and maps it to the customer, ship-tos and states.

  • Never guesses an unreadable field
  • Below 90% on any field, hands that field to a person
Validator agent

Checks every field, the form accepted in the state, signature, date and expiry, and each number in the state's registry — 27 online lookups. Re-checks the Reader's fields and the Use agent's findings against the state rule.

  • Never accepts on a registry mismatch
  • Never edits a field
  • Files only when every check passes at 95% or more
Use agent

Reads 12 months of each exempt customer's invoice lines and judges by item class, quantity and ship-to address whether the purchases fit the reason claimed — resale, manufacturing, agriculture, non-profit, government — with the tax at stake.

  • Reports a fit, never intent
  • Never changes tax itself
Order agent

Watches every exempt order in SAP. Holds or taxes it by rule when the ship-to state has no valid certificate, releases it when one passes, writes approved billing rules and proposes credits for tax charged in a gap.

  • Never releases an order exempt without a valid certificate
  • Writes billing rules only from a signed decision
Audit agent

Answers a state auditor's sample with the certificate valid on each invoice date, including superseded versions and acquired companies' archives. Explains each gap, has the Collector chase it, counts down the deadline and builds the audit pack.

  • Never concedes an audit line
  • Never sends anything to the state
Sales tax analyst

Decides every exception; the tax manager approves accruals. The agents propose; a named person decides.

Ask in plain words

Ask the agents about any customer, certificate or audit line

Ask in plain words, or tell the agents what to do. Answers cite the certificate, the registry, the invoice lines and the state rule; nothing changes until a person approves it.

Which of these went to the service yard?

91% of the tool lines — 107 of 118 — and every abrasives and PPE line went to ship-to 02, the service yard at 77 Packery Channel Rd, in ones and twos. The pumps, fittings and rope went to the store in case quantities.

What do we owe if we change nothing?

If an auditor finds it, the certificate does not protect these sales: we had reason to know. That is $14,820 for the last 12 months and $38,210 since March 2024, before interest. Whether to accrue it is Priya's decision; I can prepare it.

Are we ready for the Texas auditor?

207 of 214 sampled invoices have the certificate that was valid on the day; 5 are requested and 2 customers have closed ($1,186 of tax to concede). 48 days are left of the 90.

Which states are we weakest in?

Louisiana (95.1% of exempt sales covered) and Nevada (95.8%) — both have certificates in your inbox and orders on hold. Overall coverage is 98.1%, up from 91.6% in March.

Questions

What tax teams ask us.

How does it verify resale certificates?

The Reader agent reads every field, and the Validator agent checks the form accepted in the state, signature, date and expiry, and looks the number up in the state's own registry — 27 states have an online lookup; the rest are checked by format and a yearly letter. A certificate is filed without a person only when every check passes at 95% or more, and a random 10% is re-checked.

Can it catch customers misusing an exemption?

Yes. The Use agent compares 12 months of each customer's exempt invoice lines with the reason on its certificate, by item class, quantity and ship-to address, and shows the tax at stake. In the working solution it found a resale certificate covering shop tools the customer used in its own repair yard — $14,820 of tax a year. It reports a fit, never intent, and a person decides.

What happens when an exempt order ships to a state with no certificate?

The Order agent holds exempt orders of $5,000 or more in SAP and taxes smaller ones, to be credited when the certificate passes. The Collector agent drafts a request for exactly that state's form, and the order is released once a valid certificate passes — never before.

How does it help with a sales tax audit?

The Audit agent takes the auditor's sample and finds the certificate valid on each invoice date, including superseded versions and acquired companies' archives. It explains each gap, has the Collector chase it, counts down the deadline and builds the audit pack with an index and hashes. Conceding a line is the tax manager's signed decision.

Does it track expiry and renewals by state?

Yes. Expiry follows each state's rule and your own refresh rule — Florida each calendar year, Texas while the permit is active — and the Collector asks 60, 30 and 7 days ahead. In the working solution 1,214 certificates expire in the next 90 days, 386 of them Florida annual certificates on 31 December.

Do people stay in control?

Yes. The agents read, check, compare, draft and hold by rule. Only tax staff accept a certificate or change a billing rule, every exception is decided with a reason code and an e-signature, and accruals, concessions and rule changes need the tax manager. Nothing goes to a customer for the first time without approval.

How long does it take to go live?

The Agentic Solution Engine builds and deploys it from your requirements and documents — your state rules, your certificate backlog and a quarter of exempt sales — and it goes live once every quality gate has passed. A first-time setup imports and reads your existing certificates and tries the rules on last quarter before anything is held.
